Phone.com Inc. and Software.com Inc., which provide Internet software to telecommunications companies, have agreed to merge in a $6.4 billion stock-swap deal. The new company will be led by Donald J. Listwin, who previously worked at Cisco Systems Inc. and has been lured away to head the newly merged company. Both companies' boards have approved the merger, and the announcement was made on Wednesday. The companies did not provide any specific details about the changes that the merger will bring.
